Terms and Conditions
1. The service
Archive North Sites ("we", "us"), a service of Archive North Technologies Inc., creates and manages basic informational business websites. These packages are designed for businesses that need a professional online presence without the complexity of a custom web application. These terms govern the purchase of a website package and the associated website management subscription.
2. Package scope and inclusions
The Business Website package includes a website of up to 3 pages presenting business information, service descriptions, contact information, photos, your existing logos and branding applied to the website, calls to action, social-media links, a basic contact form, and mobile-responsive design. The package applies brand materials you provide; it does not include creating a new logo, brand-identity design, business naming, or brand strategy. If you do not have established branding, we will create a clean, simple visual presentation using your business name and preferred colours.
3. Exclusions
Standard packages do not include: online stores, ecommerce, shopping carts, or payment processing for your own clients; customer accounts or membership systems; custom dashboards or custom web applications; live inventory, large searchable databases, or automatically updated listings; regularly changing catalogues, news feeds, or continuously changing information; complex booking systems; frequent manual content updates unless separately agreed; new logo creation or full brand-identity design. Work beyond the included scope requires a separate written agreement and quote.
4. Customer responsibilities
You agree to: be reasonably reachable for the follow-up contact (by email or phone, per your selected preference); supply or approve the minimum information needed to prepare your website (business name, what you do, contact details); review mockups and provide feedback; and ensure that all content you supply is accurate, lawful, and yours to use. You are responsible for the legal and factual accuracy of your website's content.
5. Revisions and edit cycles
Website creation includes a reasonable number of revision rounds to reach an approved launch. After launch, the management subscription includes reasonable minor content corrections, up to four edit cycles per year. An edit cycle is one batch of requested minor changes submitted together. Major changes, redesigns, new pages beyond the package limit, or new functionality are quoted separately.
6. Timelines and the mockup promise
Your first website preview will be ready to look at within 4 business days, provided we can reach you and receive the minimum information needed to prepare it. This promise covers the initial preview, not the completed and launched website. Business days exclude weekends and statutory holidays. If we cannot reach you, or required information is not provided, timelines pause until contact is re-established. The mockup promise applies to the first previewable mockup and not to the completed, launched website.
7. Content ownership and licence
You retain ownership of all content you supply (text, images, logos, branding). Upon payment in full, you receive a licence to the assembled website content prepared for you. Underlying templates, tooling, and reusable code remain the property of Archive North Technologies Inc. and are licensed, not sold, for use with your website.
Before payment in full, the website we prepare remains ours. A preview shared with you is provided so that you can review it, and no licence to publish or use it passes to you until the creation fee is paid.
Once the creation fee is paid, you may request a copy of your website files at any time, and we will provide them within a reasonable period. Your licence to use those files with your own website is perpetual and survives cancellation, so ending the service does not take your website away from you. The underlying templates, tooling, and reusable code described above stay ours, and the copy we provide is for use as your own website rather than for resale or for building sites for others.
8. Domains
The management subscription includes registration or management of one standard domain when required, at the ordinary registration cost. Premium domains, aftermarket domains, domains owned by another party, unusually expensive domains, multiple domains, and purchases beyond the ordinary allowance are excluded. Any unusual domain cost will be disclosed to you and requires your approval before purchase. Selecting or suggesting a domain does not guarantee availability. Where we register or manage a domain for you, we handle the initial registration and configuration, and you remain the beneficial owner of the domain, subject to payment and these terms. Where you already own a domain, we will coordinate any domain access or transfer requirements securely after purchase, which may involve registrar account invitations, delegated access, DNS delegation, nameserver changes, domain-transfer procedures, or other secure access arrangements, and may require your participation. Do not submit account passwords through website forms.
9. Hosting and maintenance
The management subscription includes: website hosting; technical website maintenance; basic security maintenance; contact-form operation; dns configuration; registration or management of one standard domain, when required; basic monitoring; reasonable minor content corrections (see terms for limits); continued operation of the website while the subscription is active. Your website remains in operation while the subscription is active and paid.
10. Fees, billing, and renewal
The website creation fee is a one-time charge due at purchase, at the amount shown to you when you purchase. The management subscription begins at purchase, at the amount and billing period you choose, and renews automatically at the end of each billing period until cancelled. Current prices are shown on our pricing page and confirmed to you before you pay. All prices are in Canadian dollars, plus applicable taxes.
11. Price changes
Subscription prices may change for future billing periods. Archive North Technologies Inc. will provide at least 30 days' written notice, or any longer notice period required by applicable law, before a price change takes effect. A price change does not alter an annual term that has already been paid; it applies only at a future renewal. You may cancel future renewals before a new price takes effect.
12. Renewal reminders
For annual subscriptions we aim to send a renewal reminder approximately 45 days before renewal, including the renewal date, amount, any price change, and cancellation instructions.
13. Cancellation and refunds
To cancel future renewals, email hello@archivenorth.ca. Cancellation applies to future renewals; already-paid periods run to their end and are non-refundable except as required by law. The one-time creation fee is non-refundable once work has begun, except as required by law. The customer billing portal remains available for updating payment details, viewing invoices, and reviewing billing information. See the Cancellation and Subscription Policy.
14. Failed payments and suspension
If a subscription payment fails, we will retry and notify you. If payment remains outstanding after reasonable notice, we may suspend the website and, after continued non-payment, end the service. Restoring a suspended website may require bringing the account up to date.
15. Third-party services
The service relies on third-party providers (such as hosting, DNS, domain registries, and payment processing by Stripe). We are not responsible for outages or changes caused by third parties, but we will work to restore service promptly.
16. Acceptable use
The website may not be used for unlawful content, deceptive practices, or content that infringes the rights of others. We may decline content that is unlawful or that we reasonably consider harmful.
17. Privacy
Personal information is handled per our Privacy Policy. We do not collect registrar, email, or workspace passwords through the public website.
18. The service is provided as-is
The service is provided as-is and as-available. We do not warrant that the website, its hosting, or any related service will be uninterrupted, error-free, secure, or free from loss of data, and we make no guarantee about search engine rankings, traffic, enquiries, sales, or any other business result. You are responsible for the accuracy of everything you ask us to publish.
19. Exclusion and limitation of liability
To the maximum extent permitted by applicable law, Archive North Technologies Inc. is not liable for any loss, damage, cost, or expense of any kind, whether direct, indirect, special, incidental, or consequential, arising from or connected to the service, the website, its hosting, its unavailability, or any third-party service it depends on. Without limiting that, we are not liable for lost profits, lost revenue, lost business or goodwill, lost or corrupted data, loss of search rankings, or the cost of alternative arrangements.
Where liability cannot lawfully be excluded, the total liability of Archive North Technologies Inc. for all claims arising from the service is limited to the amounts you paid us for the service in the twelve months before the claim arose.
Nothing in these terms limits any right you have under the British Columbia Business Practices and Consumer Protection Act or other applicable consumer protection law to the extent that right cannot be excluded by agreement.
20. Limitation period
No claim shall be brought against Archive North Technologies Inc., whether in contract or in tort, more than five years after the event giving rise to the claim.
21. Claims against the company only, and no personal liability
These terms are with Archive North Technologies Inc.. You agree that, as your sole and exclusive remedy, any claim, demand, or suit arising from the service shall be directed or asserted only against Archive North Technologies Inc., and not against any of its employees, officers, or directors. Those individuals have no personal liability to you in respect of any such claim, whether in contract, tort, or any other cause of action, and you agree to bring no proceedings and take no action against any of them in their personal capacity.
22. Termination
You may end the service at any time by cancelling the subscription. We may also decline, suspend, or terminate the service, in whole or in part, at any time and for any reason, at our discretion. If we terminate other than for your breach of these terms, we refund the unused portion of any management fee you have paid in advance, and that refund is the whole of our responsibility for the termination.
On termination we will, on request and within a reasonable period, provide your content and facilitate transfer of your domain to you. Sections 18 through 21 survive termination.
23. Changes to these terms
The service is ongoing, and the terms governing it may need to change: prices, scope, what the management subscription covers, or the obligations on either side. We may change these terms at any time on reasonable notice to you, given by email to the address on your account or by a notice in the client portal. Changes take effect from the date stated in the notice, and continuing to use the service after that date means you accept them. If you do not accept a change, you may cancel before it takes effect, and the cancellation and refund terms above apply as they stood before the change.
24. Severability
If any provision of these terms is found unenforceable, it is severed to the minimum extent necessary and the remaining provisions stay in full force.
25. Governing law
These terms are governed by the laws of British Columbia and the applicable laws of Canada. The courts of British Columbia have exclusive jurisdiction over any dispute arising from them, and you attorn to that jurisdiction.
